Terms of Service
These Terms of Service govern your use of Digifinity's website and services. By engaging with us, you agree to be bound by these terms.
1. Services
Digifinity provides digital marketing and web development services as outlined in individual client agreements or proposals. The specific scope, deliverables, and timelines for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.
2. Payment Terms
Services are invoiced monthly in advance unless otherwise agreed in writing. Payment is due within 14 days of invoice date. Late payments may incur a 2% monthly interest charge. We reserve the right to pause services on accounts overdue by more than 30 days.
3. Cancellation
Month-to-month retainers may be cancelled with 30 days written notice to [email protected]. Project-based work may be cancelled subject to payment for all work completed to date. No cancellation fees apply beyond this requirement.
4. Client Responsibilities
Clients agree to provide timely access to required accounts, assets, and approvals. Delays caused by the client that impact project timelines are not the responsibility of Digifinity. Clients warrant that all materials provided do not infringe third-party intellectual property rights.
5. Intellectual Property
Upon full payment, clients own all final deliverables created specifically for their project. Digifinity retains ownership of any pre-existing tools, frameworks, templates, or methodologies used in service delivery. Digifinity reserves the right to showcase completed work in its portfolio unless explicitly agreed otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of services. Digifinity will not share client data, strategies, or results with third parties without explicit written consent.
7. Limitation of Liability
Digifinity is not liable for indirect, incidental, or consequential damages arising from service use or inability to use services. Our total liability for any claim shall not exceed the total fees paid by the client in the 3 months preceding the claim.
8. Warranties & Disclaimers
We will provide services with reasonable skill and care, in accordance with industry standards. However, we do not guarantee specific results such as particular search rankings, revenue figures, or ad performance outcomes, as these depend on many external factors outside our control.
9. Governing Law
These Terms are governed by applicable law in the jurisdiction of service delivery. Any disputes shall be resolved through good-faith negotiation first, followed by mediation if necessary, before any legal proceedings are initiated.
10. Changes to Terms
We may update these Terms periodically. Continued use of our services following notification of changes constitutes your acceptance of the updated Terms. We will provide at least 14 days notice for material changes.
